1. INTRODUCTION
This User Agreement establishes the contractual relationship between you and UrbanTrust Global Limited when you create, access or use an UrbanTrust account.
UrbanTrust is a professional collaboration platform designed to help individuals, professionals, businesses and organisations build, grow and create through opportunities, collaborations, professional communities and shared workspaces.
This User Agreement applies to your relationship with UrbanTrust and should be read together with:
- the UrbanTrust Terms of Use; - the UrbanTrust Privacy Policy; - the UrbanTrust Community Guidelines; - any additional terms presented when you use a specific UrbanTrust service.
If there is a conflict between this User Agreement and a specific service agreement presented for a particular UrbanTrust service, the specific service agreement will apply to that service to the extent of the conflict.
By selecting "I Agree", creating an account, or continuing to use UrbanTrust after being presented with this Agreement, you confirm that you have read, understood and agreed to be bound by it.
2. THE PARTIES
This Agreement is between:
UrbanTrust Global Limited, referred to in this Agreement as "UrbanTrust", "we", "us" or "our";
and
the individual or organisation accessing or using UrbanTrust, referred to as "you", "your" or "the User".
If you use UrbanTrust on behalf of a company, organisation or other legal entity, you confirm that you have authority to accept this Agreement on that entity's behalf.
3. YOUR ACCEPTANCE
By using UrbanTrust, you agree that:
1. the information you provide is accurate to the best of your knowledge; 2. you will keep your account information reasonably current; 3. you will use UrbanTrust lawfully; 4. you will respect other users; 5. you will not deliberately misrepresent yourself, your organisation, your skills, your experience or your opportunities; 6. you will comply with the UrbanTrust Terms of Use and Community Guidelines; 7. you understand that UrbanTrust facilitates professional connections and collaborations but does not guarantee their outcomes.
If you do not agree with this Agreement, you must not create or continue to use an UrbanTrust account.
4. WHO MAY USE URBANTRUST
UrbanTrust is primarily designed for adults engaged in professional, business, creative, entrepreneurial, educational or other legitimate activities.
Unless UrbanTrust expressly provides a service for younger users under appropriate safeguards, you must be at least 18 years old to independently create and operate an UrbanTrust account.
You must not create an account if you are legally prohibited from using the service.
5. YOUR URBANTRUST ACCOUNT
Your account is personal to you.
You agree to:
- provide accurate information; - protect your login credentials; - prevent unauthorised access; - notify UrbanTrust of suspected account compromise; - use your account only for legitimate purposes.
You must not:
- sell or transfer your account; - impersonate another person; - operate an account belonging to another person without permission; - create accounts for deceptive purposes; - use multiple accounts to manipulate UrbanTrust systems.
UrbanTrust may require additional verification where reasonably necessary for security, trust, fraud prevention or access to particular features.
6. YOUR PROFESSIONAL IDENTITY
UrbanTrust allows users to create professional profiles containing information such as:
- name; - profession; - skills; - experience; - qualifications; - interests; - business information; - professional activity; - collaboration history; - verification information; - trust-related indicators.
You are responsible for the accuracy and legitimacy of information you place on your profile.
You must not claim qualifications, experience, employment, partnerships, achievements or professional status that you do not legitimately possess.
Where information is verified by UrbanTrust or an approved verification provider, the applicable verification indicator does not constitute a guarantee of the user's overall character, competence or future conduct.
7. URBANTRUST AS A COLLABORATION PLATFORM
UrbanTrust provides tools that allow users to discover and participate in professional activities.
These may include:
- launching projects; - building teams; - offering career growth; - developing businesses; - creating products; - supporting initiatives; - conducting research; - producing content; - seeking advice; - requesting feedback; - sharing opportunities; - offering funding; - hosting events.
UrbanTrust provides the infrastructure for these interactions.
Unless expressly stated otherwise, UrbanTrust is not a party to the agreement between users participating in a collaboration.
8. USER-TO-USER AGREEMENTS
When you accept a collaboration, you may enter into a separate relationship or agreement with another user.
That relationship may involve:
- employment; - independent contracting; - volunteering; - partnership; - business cooperation; - investment; - research; - content production; - product development; - project work; - other professional arrangements.
You are responsible for understanding the relationship you are entering into.
Where appropriate, users should establish their own written agreement covering:
- responsibilities; - deliverables; - payment; - ownership; - intellectual property; - confidentiality; - timelines; - termination; - dispute resolution; - other relevant conditions.
UrbanTrust does not automatically create an employment, partnership, agency, fiduciary or joint-venture relationship between users.
9. COLLABORATION MODELS
UrbanTrust may allow creators to identify a collaboration as:
- Paid - Volunteer - Negotiable
These labels help users understand the expected collaboration arrangement.
They do not replace a separate agreement between the parties.
Where compensation is negotiable, users should reach a clear agreement before beginning substantial work.
UrbanTrust does not guarantee payment unless UrbanTrust itself is expressly responsible for processing or guaranteeing that payment under a separate service agreement.
10. WORKSPACES
When you join a collaboration, UrbanTrust may provide a Workspace for participants.
A Workspace may allow participants to:
- coordinate activities; - communicate; - assign responsibilities; - monitor progress; - share materials; - manage deliverables; - document collaboration activity.
You understand that information placed within a Workspace may be accessible to other authorised members of that Workspace.
You are responsible for determining whether information is appropriate to share.
Do not upload confidential, proprietary, personal or regulated information unless you have the right to share it and the applicable UrbanTrust feature is appropriate for that information.
11. COMMUNITY PARTICIPATION
UrbanTrust Community allows users to participate in professional knowledge and opportunity exchange.
You may:
- ask questions; - request advice; - request feedback; - contribute knowledge; - share legitimate opportunities; - provide funding information; - host or discover events; - participate in relevant professional discussions.
Your Community activity is part of your responsibility as an UrbanTrust user.
You agree not to use Community features for spam, deception, harassment, manipulation, unlawful activity or unrelated abuse.
12. TRUST AND CREDIBILITY
UrbanTrust may provide trust-related features intended to help users make better-informed professional decisions.
These may include:
- verification; - collaboration history; - completed activities; - feedback; - credibility indicators; - trust scores; - other platform-generated signals.
You understand that these features are decision-support tools and not guarantees.
A high trust or credibility indicator does not mean that UrbanTrust guarantees a user, business, project, opportunity, payment or outcome.
You must not manipulate these systems.
Artificially creating collaborations, feedback, activity, accounts or other signals to increase trust or credibility is prohibited.
13. DISCOVERY AND RECOMMENDATIONS
UrbanTrust may recommend:
- collaborations; - professionals; - community discussions; - opportunities; - events; - workspaces; - other relevant content or services.
Recommendations may be based on information such as your professional interests, skills, activity, profile and previous participation.
A recommendation does not constitute an endorsement, guarantee or verification of the recommended user or opportunity.
You remain responsible for conducting appropriate due diligence.
14. USER CONTENT
You retain ownership of content that you legally own and submit to UrbanTrust.
By submitting content, you give UrbanTrust the rights reasonably necessary to host, store, process, reproduce, display and distribute that content for operating and providing the platform.
You confirm that you have the necessary rights to submit the content.
You must not upload content that:
- infringes another person's rights; - contains unlawfully obtained confidential information; - violates privacy; - violates intellectual property rights; - is fraudulent; - is malicious; - violates the Community Guidelines.
UrbanTrust may remove or restrict content where reasonably necessary under its policies or applicable law.
15. YOUR RESPONSIBILITY FOR YOUR CONTENT
You are responsible for what you publish, submit, upload or communicate through UrbanTrust.
UrbanTrust does not automatically endorse user-generated information.
If you publish an opportunity, claim, recommendation, professional statement, funding offer or business proposal, you are responsible for ensuring that it is truthful and lawful.
16. INTELLECTUAL PROPERTY
UrbanTrust owns or has appropriate rights to the UrbanTrust platform, including its:
- software; - technology; - interface; - branding; - logos; - visual identity; - platform architecture; - proprietary systems; - original platform content.
Your use of UrbanTrust does not transfer ownership of these rights to you.
You may not copy, reproduce, reverse engineer, modify, distribute or commercially exploit UrbanTrust's proprietary technology or branding without permission.
17. PAYMENTS AND COMMERCIAL SERVICES
UrbanTrust may provide paid services, subscriptions or other commercial features.
Where a particular service involves payment, additional terms may be presented before the transaction.
You agree to provide accurate billing information and pay applicable charges when due.
UrbanTrust may use third-party payment providers.
A transaction between users is not automatically a transaction with UrbanTrust.
Where UrbanTrust introduces escrow, Paylock or another transaction-protection service, the applicable service terms will determine the responsibilities of UrbanTrust and the participating parties. Otherwise verify with us anything financial arrangements made with you on our behalf to make sure it is approved by UrbanTrust Global Limited
18. URBANTRUST DOES NOT GUARANTEE COLLABORATION OUTCOMES
You acknowledge that professional collaboration involves risk.
UrbanTrust does not guarantee:
- that you will find a collaborator; - that a collaboration will be accepted; - that a project will succeed; - that a business will become profitable; - that funding will be received; - that a user will perform as promised; - that a professional is suitable for a particular role; - that information supplied by a user is completely accurate; - that an opportunity will produce a particular result.
You are responsible for performing appropriate due diligence before entering important professional, financial or legal relationships.
19. NO PROFESSIONAL ADVICE
UrbanTrust may contain professional opinions, recommendations and user contributions.
These do not automatically constitute:
- legal advice; - financial advice; - investment advice; - tax advice; - medical advice; - employment advice; - professional consultancy.
Where a decision has significant legal, financial or other consequences, obtain advice from an appropriately qualified professional.
20. SAFETY AND RESPONSIBLE USE
You agree to use UrbanTrust in a way that protects yourself and other users.
You must not use UrbanTrust to:
- commit fraud; - exploit people; - facilitate abuse; - engage in trafficking; - conduct unlawful financial schemes; - distribute malicious software; - obtain information through deception; - threaten users; - harass users; - facilitate child exploitation; - conduct other unlawful activities.
UrbanTrust may take immediate protective action where there is a serious safety, security or legal concern.
21. CHILD SAFETY
UrbanTrust has a strong commitment to preventing child exploitation and abuse.
Users must never use UrbanTrust to:
- groom a child; - sexually exploit a child; - solicit sexual material from a child; - facilitate trafficking; - arrange abusive interactions; - exploit a child commercially; - otherwise place a child at risk.
UrbanTrust may restrict, suspend or terminate accounts involved in suspected child exploitation and may make appropriate reports where required or appropriate under applicable law.
22. REPORTING
You agree to report serious violations, fraudulent activity, security concerns and safety issues through the available UrbanTrust reporting or support channels.
Reports should be made honestly and in good faith.
False or malicious reporting intended to harm another user may itself constitute a violation.
23. PLATFORM MODERATION
UrbanTrust may take action where activity appears to violate:
- this User Agreement; - the Terms of Use; - Community Guidelines; - applicable law; - platform safety requirements.
Depending on the circumstances, UrbanTrust may:
- remove content; - limit visibility; - restrict features; - restrict collaboration activity; - issue warnings; - suspend an account; - terminate an account; - preserve information where legally necessary; - report matters to appropriate authorities where required or appropriate.
24. ACCOUNT SUSPENSION AND TERMINATION
You may stop using UrbanTrust at any time.
UrbanTrust may suspend or terminate your account when reasonably necessary to:
- enforce this Agreement; - protect users; - prevent fraud; - protect platform security; - comply with legal obligations; - address serious violations; - prevent misuse of the platform.
Where appropriate, UrbanTrust may provide notice or an opportunity to appeal.
Termination does not remove obligations that are intended to survive termination.
25. YOUR RIGHT TO APPEAL
Where UrbanTrust provides an appeal process for an enforcement decision, you may submit relevant information for review.
UrbanTrust may consider:
- the nature of the violation; - available evidence; - account history; - user explanations; - safety concerns; - applicable policies.
An appeal does not automatically restore an account or content.
26. PRIVACY
UrbanTrust processes personal information in accordance with its Privacy Policy and applicable data protection laws.
The Privacy Policy explains:
- information collected; - purposes of processing; - applicable rights; - data sharing; - retention; - security; - privacy requests.
Your use of UrbanTrust may involve processing of personal data necessary to provide the platform and its services.
UrbanTrust's privacy practices are intended to operate within applicable Nigerian data protection requirements, including the Nigeria Data Protection Act 2023.
27. ELECTRONIC AGREEMENT
You agree that electronic acceptance of this User Agreement may constitute your agreement to its terms.
This may include actions such as:
- selecting "I Agree"; - selecting "Accept"; - creating an account after being presented with the Agreement; - continuing to use UrbanTrust after being notified of an updated Agreement where continued use constitutes acceptance under applicable law.
Electronic contracting is recognised within Nigeria's legal framework, subject to applicable requirements.
28. CHANGES TO THE USER AGREEMENT
UrbanTrust may update this Agreement when:
- the platform changes; - new features are introduced; - existing services change; - legal requirements change; - security requirements change; - business operations change.
For material changes, UrbanTrust may provide reasonable notice through the platform, email or another appropriate method.
The updated version will state its effective date.
Where continued use constitutes acceptance under applicable law, continuing to use UrbanTrust after the effective date means you accept the updated Agreement.
29. PLATFORM AVAILABILITY
UrbanTrust aims to provide a reliable service but does not guarantee continuous availability.
The platform may occasionally be unavailable because of:
- maintenance; - upgrades; - technical failures; - cybersecurity incidents; - infrastructure problems; - emergencies; - third-party service failures; - legal or regulatory requirements; - circumstances outside UrbanTrust's reasonable control.
30. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, UrbanTrust will not be liable for losses arising primarily from:
- independent transactions between users; - inaccurate information provided by users; - unsuccessful collaborations; - failure of a third-party service; - user misconduct; - decisions made based solely on a trust or credibility indicator; - events outside UrbanTrust's reasonable control.
Nothing in this Agreement is intended to exclude or limit liability that cannot legally be excluded or limited.
31. INDEMNIFICATION
To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities and reasonable expenses arising from your:
- unlawful use of UrbanTrust; - violation of this Agreement; - violation of the Terms of Use; - violation of the Community Guidelines; - infringement of another person's rights; - fraudulent or deliberately misleading activity.
32. DISPUTES BETWEEN USERS
UrbanTrust encourages users to resolve disputes professionally and directly where appropriate.
Unless UrbanTrust has expressly agreed to participate in a dispute, disputes arising from a collaboration or transaction between users are primarily disputes between those users.
UrbanTrust may provide records, platform information or support where appropriate and legally permitted, but does not automatically act as an arbitrator, mediator, employer, investor or guarantor.
33. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the applicable laws of the Federal Republic of Nigeria, subject to mandatory legal rights that may apply to a user.
Where a dispute cannot be resolved informally, it may be referred to the appropriate court or other legally recognised dispute-resolution mechanism with jurisdiction.
34. SEVERABILITY
If a court or competent authority determines that any provision of this Agreement is invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
35. NO WAIVER
If UrbanTrust does not immediately enforce a provision of this Agreement, that does not mean UrbanTrust has permanently waived its right to enforce that provision later.
36. ENTIRE AGREEMENT
This User Agreement, together with the UrbanTrust Terms of Use, Privacy Policy, Community Guidelines and applicable additional service terms, forms the principal contractual framework governing your use of UrbanTrust.
Where a specific service has separate terms, those terms apply to that service in addition to this Agreement.
37. CONTACT
Questions concerning this User Agreement, account matters, legal concerns or contractual issues should be submitted through the official UrbanTrust support or legal contact channel provided on the platform.

USER ACCEPTANCE
By selecting "I Agree", creating an UrbanTrust account or otherwise accepting this Agreement electronically, you acknowledge that:
- you have read this User Agreement; - you understand its principal terms; - you agree to comply with it; - you agree to the UrbanTrust Terms of Use; - you acknowledge the UrbanTrust Privacy Policy; - you agree to follow the UrbanTrust Community Guidelines.
