Welcome to UrbanTrust.

These Terms of Use explain the rules that apply when you access or use UrbanTrust, including our website, mobile applications, collaboration features, community features, workspaces, trust and verification features, and related services.

By creating an account or using UrbanTrust, you agree to these Terms.

If you do not agree with these Terms, you should not use UrbanTrust.

1. About UrbanTrust

UrbanTrust is a professional collaboration platform designed to help people and organisations:

- discover opportunities; - build teams; - launch and work on projects; - find professional collaborators; - offer skills and expertise; - seek professional advice and feedback; - share opportunities and funding information; - host or discover relevant events; - participate in professional communities; - build a record of trusted professional activity.

UrbanTrust is designed for people who want to build, grow and create, rather than function primarily as a traditional social network or job board.

UrbanTrust does not guarantee that a collaboration, project, business relationship, employment opportunity, investment, funding arrangement or other outcome will be successful.

2. Eligibility

You must provide accurate information when creating and maintaining your UrbanTrust account.

Unless UrbanTrust expressly provides otherwise, users must be at least 18 years old to create an account and independently use the platform.

You must not create an account on behalf of another person without appropriate authority.

UrbanTrust may introduce additional requirements for particular services, including identity verification, professional verification, payment services or other regulated activities.

3. Your Account

You are responsible for:

- keeping your login information secure; - maintaining accurate account information; - protecting access to your account; - notifying UrbanTrust if you believe your account has been compromised.

You must not:

- impersonate another person or organisation; - create a fraudulent identity; - provide deliberately misleading professional information; - create multiple accounts to manipulate UrbanTrust; - use another person's account without permission.

UrbanTrust may restrict, suspend or terminate accounts that violate these Terms.

4. Your UrbanTrust Profile

Your UrbanTrust profile may contain information such as:

- your name; - professional identity; - skills; - experience; - interests; - qualifications; - professional activities; - collaboration history; - trust or credibility indicators; - verification status; - contributions and participation; - other information you choose to provide.

Your profile is intended to help other users understand who you are professionally.

You are responsible for ensuring that information you provide is truthful and not misleading.

UrbanTrust may allow users to download or share certain profile or trust information.

5. Trust, Verification and Credibility

UrbanTrust may provide features designed to help users assess professional trust and credibility.

These may include:

- identity verification; - professional verification; - account verification; - collaboration history; - completed activities; - user feedback; - trust indicators; - credibility scores; - other platform-generated signals.

Verification does not mean that UrbanTrust guarantees a user's character, ability, financial position, qualifications or future conduct.

A trust or credibility score is an indicator, not a guarantee.

UrbanTrust may change the methodology, features or presentation of trust and credibility information as the platform develops.

Users must not falsely claim that UrbanTrust has endorsed, certified or guaranteed them when it has not.

6. Collaborations

UrbanTrust may allow users to create or participate in collaborations, including activities involving:

- projects; - businesses; - products; - initiatives; - research; - content; - teams; - career growth; - partnerships; - other professional activities.

A collaboration may contain information about:

- its purpose; - required skills; - roles; - available openings; - compensation; - timeline; - location; - collaboration model; - collaboration format; - other relevant requirements.

UrbanTrust provides the platform through which users discover and participate in these opportunities.

Unless expressly stated otherwise, UrbanTrust is not a party to the agreement between users.

Users are responsible for discussing and agreeing on:

- responsibilities; - ownership; - payment; - intellectual property; - confidentiality; - timelines; - deliverables; - termination; - dispute resolution; - other commercial terms.

7. Collaboration Models

A collaboration may be described using different models, including paid, volunteer or negotiable arrangements.

Where a collaboration involves compensation or commercial terms, users should clearly agree on those terms before beginning substantial work.

UrbanTrust does not guarantee that a creator will pay a collaborator or that a collaborator will complete agreed work.

Where UrbanTrust introduces a payment or similar service, additional terms may apply.

8. Workspaces

UrbanTrust may provide workspaces for users participating in collaborations.

A workspace may be used to:

- coordinate work; - communicate; - assign responsibilities; - track progress; - exchange information; - manage deliverables; - record collaboration activity.

Users remain responsible for the information and materials they place inside a workspace.

Workspace information may be accessible to members who have been given access to that workspace.

Do not place confidential, sensitive or legally protected information in a workspace unless you have appropriate authority to do so.

9. Community

UrbanTrust's Community is designed for professional knowledge, questions, feedback, opportunities, funding information and events.

Community activities may include:

- asking questions; - requesting advice; - requesting feedback; - contributing knowledge; - sharing opportunities; - offering funding information; - hosting or discovering events; - other professional contributions.

UrbanTrust is not intended to be used primarily for harassment, personal attacks, spam, misinformation or unrelated social activity.

Community activity is governed by the UrbanTrust Community Guidelines.

10. User Content

You retain ownership of content that you legally own and upload, submit or publish on UrbanTrust.

By submitting content to UrbanTrust, you grant UrbanTrust a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display and distribute that content as reasonably necessary to operate, maintain, improve and provide the platform.

This licence ends for content when it is deleted, except where the content must reasonably be retained for legal, security, fraud prevention, dispute resolution or technical purposes.

You must have the rights and permissions necessary to submit content to UrbanTrust.

You must not upload content that infringes another person's copyright, trademark, privacy, confidentiality or other rights.

11. Intellectual Property

UrbanTrust and its licensors own the UrbanTrust platform, including its software, branding, interface, logos, designs, systems and other proprietary materials unless otherwise stated.

You may not:

- copy UrbanTrust's software; - reproduce its proprietary interface; - reverse engineer the platform; - remove proprietary notices; - use UrbanTrust branding in a misleading way; - commercially exploit UrbanTrust's proprietary materials without permission.

12. Payments and Commercial Transactions

UrbanTrust may introduce paid subscriptions, professional services, collaboration-related payments or other commercial features.

Prices, billing periods and applicable terms will be communicated before payment.

Users are responsible for transactions they independently enter into with other users unless UrbanTrust expressly provides the transaction service.

UrbanTrust does not guarantee the quality, legality, profitability or performance of a third-party transaction.

Where UrbanTrust provides a payment or related service, additional terms may apply.

13. Prohibited Activities

You must not use UrbanTrust to:

- commit fraud; - impersonate another person; - deceive users; - distribute malware; - abuse or exploit other users; - harass or threaten people; - discriminate unlawfully; - solicit or facilitate illegal activity; - publish private information without permission; - manipulate trust or credibility systems; - create fake collaborations; - create fake opportunities; - misuse verification; - spam users; - scrape or harvest user information without permission; - interfere with platform security; - attempt unauthorised access; - infringe intellectual property; - use UrbanTrust for activities prohibited by applicable law.

14. Safety and Child Protection

UrbanTrust is intended primarily for adults and professional activities.

Users must not use UrbanTrust to exploit, groom, sexually exploit, abuse, traffic, threaten or otherwise endanger children or young people.

Any suspected child exploitation or abuse may be reported to UrbanTrust and may be referred to appropriate authorities where legally required or appropriate.

UrbanTrust may immediately restrict accounts or content where there is a serious safety concern.

15. Moderation and Enforcement

UrbanTrust may review, restrict, remove or limit access to content or accounts where we reasonably believe there is:

- a violation of these Terms; - a violation of the Community Guidelines; - fraud or abuse; - a safety risk; - illegal activity; - manipulation of the platform; - a security concern.

Actions may include:

- content removal; - warnings; - feature restrictions; - collaboration restrictions; - suspension; - permanent account termination.

Where appropriate, users may be given an opportunity to appeal enforcement decisions.

16. Third-Party Services and Links

UrbanTrust may contain links, integrations or services provided by third parties.

UrbanTrust does not control third-party services and is not responsible for their independent policies, content, security or practices.

You should review the terms and privacy policies of third-party services before using them.

17. No Professional or Financial Guarantee

Information available through UrbanTrust is not automatically professional, legal, financial, investment, tax, employment or business advice.

Users should obtain qualified professional advice where appropriate.

UrbanTrust does not guarantee:

- employment; - investment returns; - funding; - business success; - project completion; - collaborator performance; - professional competence; - financial outcomes.

18. Availability

We work to keep UrbanTrust available and reliable, but we do not guarantee uninterrupted or error-free service.

UrbanTrust may temporarily suspend or modify services for:

- maintenance; - upgrades; - security; - technical problems; - emergencies; - legal requirements; - other operational reasons.

19. Disclaimer of Warranties

To the extent permitted by applicable law, UrbanTrust is provided on an "as available" basis.

We do not guarantee that:

- the platform will always be available; - information will always be accurate; - users will behave honestly; - collaborations will succeed; - opportunities will produce expected results.

20. Limitation of Liability

To the extent permitted by applicable law, UrbanTrust Global Limited will not be responsible for indirect, incidental, special or consequential losses arising from:

- interactions between users; - independent transactions; - unsuccessful collaborations; - inaccurate information supplied by users; - third-party services; - misuse of the platform; - events outside UrbanTrust's reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded.

21. Indemnity

To the extent permitted by law, you agree to be responsible for claims, losses, damages and reasonable expenses arising from your unlawful use of UrbanTrust, your violation of these Terms, or your infringement of another person's rights.

22. Changes to These Terms

UrbanTrust may update these Terms as the platform, services or legal requirements change.

Where appropriate, we will provide notice of material changes.

Your continued use of UrbanTrust after updated Terms become effective means you accept the revised Terms.

23. Suspension or Termination

You may stop using UrbanTrust at any time.

UrbanTrust may suspend or terminate access where necessary to protect users, the platform, comply with law or enforce these Terms.

Certain provisions, including intellectual property, liability, dispute-related provisions and legally required retention obligations, may continue after termination.

24. Governing Law

These Terms shall be interpreted in accordance with applicable laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that apply to the user.
