1. Introduction These Terms of Service ("Terms") govern your access to and use of UrbanTrust ("Platform"). By using the Platform, you agree to these Terms as a legally binding agreement.
2. Nature of the Platform UrbanTrust is a technology platform that facilitates professional connections, collaboration, and deal structuring. UrbanTrust is not a broker, agent, employer, or financial institution and does not guarantee outcomes.
3. Eligibility & Account Integrity Users must be at least 18 years old. You agree to provide accurate information and may be required to complete identity verification (KYC). You are responsible for all activity under your account.
4. User Conduct & Prohibited Activities You agree not to engage in fraud, misrepresentation, unlawful conduct, intellectual property infringement, or abuse of other users. UrbanTrust reserves the right to investigate and take action.
5. Deals, Collaborations & Platform Role All collaborations and agreements are strictly between users. UrbanTrust does not participate in, enforce, or guarantee any deal unless explicitly stated. Users bear full responsibility for due diligence and execution.
6. Payments, Escrow & Conditional Release (Paylock) Where enabled, escrow services may be used to hold funds subject to agreed conditions. Funds are released only upon verification of agreed milestones. UrbanTrust is not liable for disputes arising from unclear or conflicting deal terms between users.
7. Fees & Charges UrbanTrust may charge service fees for premium features, escrow services, or transactions. Fees will be disclosed before commitment.
8. Intellectual Property Users retain ownership of their content. By posting, you grant UrbanTrust a worldwide, non-exclusive license to use, display, and distribute content for platform operation.
9. Privacy & Data Protection UrbanTrust processes personal data in compliance with applicable data protection laws. Users have rights to access, correct, or delete their data.
10. Risk Disclosure You acknowledge that engaging in collaborations and financial agreements involves risk, including financial loss, delays, or failure of execution.
11. Limitation of Liability To the maximum extent permitted by law, UrbanTrust shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by the user to UrbanTrust within the last 12 months.
12. Indemnification You agree to indemnify and hold UrbanTrust harmless from any claims, damages, or disputes arising from your actions, agreements, or violations of these Terms.
13. Suspension & Termination UrbanTrust may suspend or terminate accounts that violate these Terms or pose risk to the platform without prior notice.
14. Dispute Resolution Disputes shall first be resolved amicably. If unresolved, disputes shall be settled through binding arbitration under applicable laws.
15. Governing Law These Terms shall be governed by the laws of the jurisdiction in which UrbanTrust is registered, without regard to conflict of law principles.
16. Changes to Terms UrbanTrust reserves the right to update these Terms. Continued use of the Platform constitutes acceptance of revised Terms.
